EVENT TERMS AND CONDITIONS: The following terms and conditions apply to all Participants that register for events, seminars, training workshops, and conferences sponsored by the Wisconsin Manufacturing Extension Partnership, Inc. (“WMEP Manufacturing Solutions”).

  1. Cancellations and Event Changes.  The WMEP accepts no liability if an event is cancelled or postponed for reasons beyond our reasonable control resulting from an act of nature, government regulation, fire, war, terrorist activity or civil commotion.  It may be necessary for reasons beyond the control of the WMEP to change the timing of the event, the speakers, the date or the venue at any time prior to the event date.  The WMEP will communicate such changes as soon as it becomes aware of them.  If the WMEP has to cancel the event, the WMEP’s liability is limited to a full refund of the event fee only.  The WMEP will not refund any travel or hotel costs associated with the cancellation of the event.  If a Participant chooses to cancel his/her registration and it is more than fifteen (15) business days prior to the start of the event or first session if event is conducted over a series of dates, the Participant is eligible for a full refund. If a Participant cancels his/her registration within fifteen (15) business days of the start of the event or first session if event is conducted over a series of dates, the Participant will be refunded the registration fee less a ten (10) percent administrative fee.
  2. Nonattendance.  If you are unable to attend, you may send a substitute at no extra cost, provided that only one individual is in attendance for the duration of the event.  A Participant may also request a transfer to another event or session date(s) of another WMEP sponsored event.  The WMEP cannot guarantee availability to the event or session of the request and additional charges may be applicable.  The WMEP will not provide any refunds for a missed sessions(s) of an event that is conducted over a series of dates.  Further, the WMEP accepts no liability if a Participant is unable to attend an event or a session due to adverse weather conditions or any travel disruption.
  3. Participant Contact.  By submitting registration details, Participant agrees to allow the WMEP and companies associated with the event to contact him/her as required for the organization and administration of the event.  The contact details of registered Participants may be placed on an attendee list.  The list may be provided to sponsoring companies and may be provided to all Participants for them to see who is at the event for the purpose of networking and meetings.  Participants who do not wish to be included on these lists should advise at time of registration.
  4. Photography and Video Footage.  The WMEP may arrange for photographs and/or video footage to be taken at events and used for promotional purposes.  This may include printed documents or media, editorial coverage, advertising press and use on the Internet.  Participants are advised that this may result in incidental inclusion of participants within any recording or photographs.  Participant must notify the WMEP prior to the event if he/she does not wish for their image to be used in this manner.
  5. Services and Scope of Work.  The WMEP shall perform the services described in the program summary.  All services to be provided hereunder by the WMEP may be performed by employees, associates, agents or independent contractors of the WMEP.  Extensions of work beyond the number of meetings specified or requests for additional technical assistance will need to be agreed to under separate contract between the WMEP and the Participant or Participant’s Organization.
  6. Confidentiality. The term “Confidential Information” shall include, without limitation, any and all trade secrets, business methods, business records and files, computer programs, customer and supplier lists, product specifications, drawings and prototypes, price lists, reports, or other confidential or proprietary information of any type or description, whether such information is in written form, maintained in computer form, or otherwise with respect to a party hereto. The WMEP and Participant or Participant Organization acknowledge that by virtue of their business relationship with each other, that they and their respective officers, directors, employees, agents, distributors and their representatives (collectively their “representatives”) may have access to and knowledge of Confidential Information regarding the other parties. The WMEP and Participant or Participant Organization agree, on their own behalf and on behalf of their respective Representatives, subject to the provisions of the Wisconsin Open Records Law, if applicable, not to communicate, divulge, or use for the benefit of any individual or entity whatsoever any Confidential Information obtained by them regarding the others without the express written consent of the other parties hereto.
  7. Insurance. During the term of participation, Participant or Participant Organization shall obtain and maintain in full force and effect, comprehensive general public liability insurance coverage at its normal and customary level.
  8. Indemnification. Although the WMEP may provide engineering and technical advice in the performance of this event, Participant or Participant Organization acknowledges that it will rely on its own judgment in making final decisions with respect to all engineering and technical matters affecting the design, construction, material, and other aspects of any product produced pursuant to or as a result of services described in this Agreement. Recognizing the limited nature of the participation of  the WMEP in such matters, the Participant or Participant Organization agrees to indemnify, protect, and hold harmless the WMEP and its employees, officers, directors, and agents from and against any and all liabilities, claims, demands, causes of action, or expenses, including attorneys’ fees, that arise out of or are in any way related to participation in this event, except for any liability, claim, demand, cause of action, or expense resulting from the gross negligence or intentional misconduct of WMEP. The WMEP indemnifies and agrees to defend and hold harmless Business and its employees, officers, directors, and agents from any and all liabilities, claims, demands, causes of action, or expenses, including attorneys’ fees, arising from the gross negligence or intentional misconduct of WMEP in the performance of its duties hereunder.
  9. Participant Feedback.  The WMEP will conduct project closeout activities with Participant or Participant Organization to identify value received.  Following the event, a participant may receive an email asking them to complete a feedback form online.  The WMEP requests that this is completed within seven (7) days to allow the WMEP to continue to improve and tailor future events more closely to Participant requirements.  Manufacturing Participants will also be requested to participate in an independent third-party survey sponsored by the National Institute of Standards and Technology to capture the value provided by the WMEP as part of its ongoing review of the WMEP and continuation of federal funding support.
  10. Remedies. In the event of any default under this Agreement, the non-defaulting party may terminate this Agreement and pursue any and all other remedies available at law or in equity against the defaulting party, except as herein limited. If Business has any claims against the WMEP with respect to any goods or services furnished hereunder, such claims may be brought only in action for breach of contract and Participant or Participant Organization shall not make any claim based on any theory of tort, including, without limitation, strict liability or negligence theories. The total liability to the WMEP for all claims arising under this agreement shall not exceed the total compensation paid to the WMEP hereunder.
  11. Other Agreements. This agreement sets forth the entire understanding between the parties with respect to the subject matter hereof, merges all discussions between them, and supersedes and replaces any agreement, whether oral or written, which may have existed among the WMEP and Participant or Participant Organization to the extent that any such agreement relates or related to the subject matter hereof.
  12. Binding Effect. Except as specifically limited herein, this Agreement shall be binding upon and inure to the benefit of the parties, their successors and assigns; provided that neither the WMEP or Participant or Participant Organization assigns this Agreement without the prior written consent of the WMEP.
